Dear Biathlon Australia family,
The Board is pleased to announce that all 7 motions passed at our general meeting last night with overwhelming support. The report from TrueVote is attached/can be viewed here. 60 of our 159 voting members voted. We will now proceed to update our Constitution ahead of our AGM which is scheduled for Monday 30 November.
What this means is:
- elected Director terms will now be four years with a maximum term of ten years and a period of three years before they eligible to be a Director again
- the composition of the Board will change to no more than five elected Directors and no more than three appointed Directors. The Australian Sports Commission (ASC) requires a board to comprise no less than 40% board-appointed directors. On the basis that the maximum number of Directors on the BA board is 8 the ASC is comfortable that a composition of 5 elected directors and 3 appointed directors would satisfy the intent of the standard
- the current practice of the finance and risk committee (FAR Committee) to include at least one independent member who is a CPA or Chartered Accountant is now enshrined in the Constitution as required by the ASC
- the current gender balance of the Nominations Committee is now enshrined in the Constitution
